Setting up an Australian subsidiary from Brazil

Brazilian Ltda or S.A. forming an Australian Pty Ltd? No tax treaty in force, Central Bank CBE reporting, FIRB, apostilles, translations and a 13-14 hour gap.

Updated 6 min read12 official sources

Brazil and Australia are far apart on the map and on the clock, and they have less legal plumbing between them than most of the countries we deal with. Treasury lists no income tax treaty and no tax information exchange agreement with Brazil, and DFAT lists no free trade agreement. None of that stops a Brazilian company from owning an Australian Pty Ltd. It does mean the tax planning carries more weight, and the paperwork needs translation and careful timing.

As with any foreign-owned company, the Australian subsidiary needs at least one director who ordinarily lives in Australia. Our resident director guide explains who qualifies. Below is what changes when the parent is Brazilian.

Ltda or S.A. as the owner

Brazilian parents are usually one of two forms:

  • Sociedade limitada (Ltda), the limited liability company governed by the Código Civil (Lei 10.406 of 2002).
  • Sociedade anônima (S.A.), the corporation governed by Lei 6.404 of 1976.

Either can hold all the shares in an Australian Pty Ltd. Australian banks and advisers will want the parent's constitutive documents (the contrato social of an Ltda, or the estatuto social of an S.A.), the record of who its administrators are, and evidence of who can sign for it. Brazilian companies are registered with their state commercial registry (Junta Comercial). Whatever you obtain will need translating, so order it early.

No tax treaty: what that means

Treasury's income tax treaties list, last updated 24 March 2026, has no entry for Brazil. Neither does Treasury's list of tax information exchange agreements. We checked both in October 2026.

Practical consequences to raise with your advisers:

  1. No treaty-reduced withholding. Dividends, interest and royalties paid from the Australian company to the Brazilian parent fall under Australia's domestic withholding rules, with no treaty to cut the rate.
  2. Double taxation relief depends on domestic law. Whether Brazil gives credit for Australian tax on the subsidiary's profits, and how, is a Brazilian tax question.
  3. The mix of payments matters more. Service fees, cost recharges, royalties and interest are each treated differently, and all are related-party dealings. Read our transfer pricing guide and funding guide before you set up intercompany agreements.
  4. Some groups consider an intermediate holding company in a treaty country. That changes FIRB thresholds, tax outcomes and substance requirements all at once. Don't do it without coordinated advice.

We don't give tax advice. The Australian company's own obligations (income tax, GST, PAYG) are summarised in our company tax guide.

Reporting to the Banco Central do Brasil

The Central Bank collects data on Brazilian investment abroad. Its CBE page (Capitais Brasileiros no Exterior) says the declaration is required from residents, individuals or companies, holding assets abroad that total:

  • US$1 million or more at 31 December: annual CBE, filed from 15 February to 5 April of the following year
  • US$100 million or more at 31 March, 30 June and 30 September: quarterly CBE as well

The Brazilian parent's shares in the Australian Pty Ltd, plus any loans it makes to the subsidiary, count toward those totals. The Australian board's part is to give the parent timely figures. Agree with Brazil who supplies what, and by when, so the December balances are ready before February.

FIRB for Brazilian investors

Brazil is not among the "certain FTA partners" in the 2026 monetary thresholds table, and DFAT's list of agreements has nothing with Brazil, in force or pending. Brazilian private investors are therefore on the standard thresholds.

For agribusiness and food groups, the low figures apply: agricultural land over $15 million (cumulative) and agribusiness over $75 million (cumulative) for a direct interest, generally 10% or more. A substantial interest (20% or more) in an Australian entity is screened above $347 million, and mining or production tenements, residential land and vacant commercial land start at $0. If the Brazilian parent has government shareholders, it may count as a foreign government investor, with $0 thresholds for most acquisitions. See our FIRB basics guide. We don't lodge FIRB applications.

Documents, translations and names

Brazil's accession to the Apostille Convention entered into force on 14 August 2016, according to the HCCH status table. Australia's took effect on 16 March 1995. Brazilian public documents can be apostilled instead of being legalised at a consulate.

Translation is where the timetable usually slips:

  • Portuguese documents need English translations. A Brazilian sworn translation (tradução juramentada) is designed for use in Brazil. For Australian use, ask the recipient, whether a bank, government agency or our own onboarding team, what they accept.
  • NAATI is Australia's certifying body for translators. A NAATI-certified translator's practitioner number is nine characters and starts with "CPN", and you can check credentials through NAATI, as its practitioner identification page explains.
  • Names must match exactly. Brazilian names often have several surnames and accented letters (ã, ç, é). Use the full name exactly as it appears on the passport for the Director ID application, the consent to act and bank identity checks. Shortened versions used day to day cause mismatches. See Director ID for foreign directors.

Our guide to signing documents from overseas covers counterparts, electronic signing and witnessing.

São Paulo and Sydney time

Brazil ended daylight saving with Decreto 9.772 of 25 April 2019, so its clocks no longer change. The country has four time zones under Decreto 2.784 of 1913 as amended: UTC−2 for Fernando de Noronha, UTC−3 for the Federal District, São Paulo, Rio de Janeiro and most of the south and east, UTC−4 for states including Mato Grosso and Rondônia and most of Amazonas, and UTC−5 for Acre and western Amazonas.

Sydney is UTC+10, or UTC+11 during daylight saving (Sunday 4 October 2026 to Sunday 4 April 2027, per NSW):

Brazil Sydney ahead by (April–October) Sydney ahead by (October–April)
São Paulo, Rio, Brasília (UTC−3) 13 hours 14 hours
Manaus, Cuiabá (UTC−4) 14 hours 15 hours
Rio Branco (UTC−5) 15 hours 16 hours

At 5pm on a Monday in São Paulo, it is already 6am or 7am on Tuesday in Sydney. That's the usable window: late afternoon in Brazil, early morning in Australia. Australian deadlines run on Australian dates, so a document signed on a Brazilian Friday evening may already be a Saturday lodgement in Sydney.

Common mistakes

  1. Assuming a treaty exists. A group used to treaty relief elsewhere can be caught out. Australia has no treaty with Brazil.
  2. Translating late. The documents are ready, the translations aren't, and the bank account waits.
  3. Missing the CBE year-end figures. Plan the 31 December balance numbers with your Australian accountant.
  4. Running the Pty Ltd from São Paulo as if it were a branch. Its directors decide for it. See shadow directors and parent control.

How we fit

We act as the Australian-resident director, keep the registered office and ASIC records, so the Brazilian head office has a local contact for the Australian side. Our packages are on the pricing page, and the setup steps are in our subsidiary setup guide.

Frequently asked questions

Is there a tax treaty between Australia and Brazil?

No. Brazil does not appear on Treasury's list of Australian income tax treaties (last updated 24 March 2026) or on its list of tax information exchange agreements, as checked in October 2026. Payments from the Australian company to a Brazilian parent get no treaty relief, so take tax advice in both countries before choosing between dividends, interest, royalties or service fees.

Does the Brazilian parent have to report its Australian subsidiary to the Central Bank?

If the Brazilian resident's assets abroad total US$1 million or more at 31 December, the Banco Central do Brasil requires an annual CBE declaration, filed between 15 February and 5 April. At US$100 million or more, quarterly declarations apply as well. The Australian shares count toward those assets.

Do Brazilian documents need an apostille for Australia?

Brazil has been party to the Apostille Convention since 14 August 2016, so Brazilian public documents can carry an apostille rather than being legalised. Documents in Portuguese also need an English translation, and the recipient may ask for a NAATI-certified translator.

What is the time difference between São Paulo and Sydney?

São Paulo and Brasília are on UTC minus 3 all year, since Brazil ended daylight saving in 2019. Sydney is 13 hours ahead from April to early October and 14 hours ahead during Australian daylight saving, so it is usually already the next day in Sydney.
